The agreement

These terms apply to every project Overprint runs. A signed proposal, or an email accepting one, forms the contract between us. The proposal lists the scope, the timeline, the price and the payment schedule; where the proposal and these terms differ, the proposal wins.

Scope and changes

  • The scope in the proposal is the work we will do. Requests outside it are quoted separately before we start them.
  • Each stage has a fixed number of review rounds, listed in the proposal. Extra rounds are billed at our day rate.
  • If you pause a project for more than thirty days we may reschedule it around other work.

Payment

  • Projects are invoiced in stages: a deposit to start, a payment at the concept stage and the balance on delivery. Invoices are due within fourteen days.
  • Work stops on overdue invoices and restarts when they are paid. Late payments carry statutory interest.
  • Third-party costs such as fonts, stock imagery, printing and photography are quoted separately and billed at cost.

Ownership

  • On final payment you own the finished work: the identity, the artwork, the website and the files, with the licence to use them without limit.
  • We keep the right to show the work in our portfolio, on this site and in award entries, unless you ask us in writing not to before the project ends.
  • Concepts we present but you do not choose stay ours.
  • Fonts, stock photography and software are licensed to you under their own terms; we will tell you which licences you need.

Your responsibilities

You will give us the content, approvals and access we need on the dates in the timeline, and confirm that anything you give us is yours to use. We are not responsible for delays caused by late materials or approvals.

Liability

We work carefully but we cannot guarantee commercial results. Our liability for any project is limited to the fees you have paid for it. Neither of us is liable for indirect or consequential losses.

Ending a project

Either of us can end a project with fourteen days' written notice. You pay for the work completed to that date, and receive the files for the stages you have paid for.

Law

These terms are governed by the laws of England and Wales and any dispute is settled in its courts.
